Michael J. O’Brien is a member of the Corporate Department in the New York office of Wilmer Cutler Pickering Hale and Dorr LLP, where his practice focuses on mergers and acquisitions and private equity transactions. Prior to joining WilmerHale, Mr. O’Brien was the Managing Partner of the New York office of King & Splading LLP. Previously, Mr. O’Brien was a partner with O’Sullivan Graev & Karabell LLP and an associate at Cravath, Swaine & Moore. Mr. O’Brien counsels private equity firms on investment transactions and represents clients in complex M&A transactions, including the 2007 representation of Caremark Rx, Inc., in the $26 billion merger with CVS Corporation, and Wellsford Real Properties, Inc., in the merger with REIS, Inc. His private equity experience includes representing strategic funds, individual investors and companies in transactions ranging from start-up capital investments to large leveraged buyouts of established operating companies. Mr. O’Brien has also represented funds and companies in joint strategic/private equity bidding groups, as well as private and public companies in general corporate and securities matters, financing transactions and domestic and international joint ventures. Mr. O’Brien is a member of the Board of Directors of the Friends of the High Line, dedicated to preserving elevated rail in lower Manhattan and a member of the Leadership Committee of The Lincoln Center Corporate Fund. Mr. O’Brien is listed in the current edition of Best Lawyers in America. He received his J.D., cum laude, in 1980 from Harvard Law School and his Bachelor’s Degree in 1977 from Columbia College. He and his wife Elizabeth live in New York City.
